For Qualified Intermediaries

Software built for Qualified Intermediaries

A Qualified Intermediary (QI) is the independent party that holds a taxpayer's sale proceeds during a 1031 exchange so the taxpayer never has constructive receipt of the funds. It's a role with real fiduciary weight, and it deserves real software. DeferAlly gives QIs one platform to run every exchange, without spreadsheets and without missed deadlines.

What a Qualified Intermediary does

Under Treasury Regulation 1.1031(k)-1, a taxpayer can't touch the proceeds from a relinquished property sale if they want to defer the gain. The Qualified Intermediary steps in: it enters into an exchange agreement with the taxpayer, takes an assignment of the sale and purchase contracts, holds the proceeds in escrow, receives the 45-day identification notice, and wires funds to close on the replacement property within 180 days.

Each of those steps is a compliance event. QIs need to prove what was signed, when funds moved, which properties were identified and that every deadline was met, often for hundreds of exchanges at once.

DeferAlly is software for QIs, not a QI

DeferAlly does not act as a Qualified Intermediary and never holds exchange funds. That's intentional. We build the operating system QIs run on, so we never compete with you for clients. Your firm name, logo and colors appear on the client portal, emails and documents. Your clients are your clients.

How DeferAlly helps Qualified Intermediaries

  • Deadline engine: 45-day and 180-day dates calculate from the sale date, with countdown rings and an Urgent Deadlines board for anything at risk.
  • Escrow tracking: record each deposit and disbursement, mark funds received with the holding institution, and see estimated interest accrued.
  • Identification validation: replacement properties are checked against the three-property, 200% and 95% rules before the 45-day notice goes out.
  • Exchange documents: generate exchange agreements, assignments and designation notices, then collect legally binding e-signatures in the app.
  • Party notifications: notify closing agents, attorneys and accountants, with delivery tracking on every email and text.
  • Audit trail: every action is logged by user and time, and can be exported for audits and examinations.
  • Team controls: role-based access for staff, approvers and support, with multi-factor sign-in.

Grow your QI practice

A white-labeled client portal and an AI assistant that answers clients' 1031 questions around the clock make a small QI feel like an institution. Referral partners such as realtors, CPAs and attorneys can be kept in the loop automatically, and CRM sync with HubSpot or Salesforce on Elite and Custom plans keeps your pipeline and exchange files in step.

Whether you close twenty exchanges a year or ten thousand, DeferAlly scales with seats, volume and Custom options like SSO, multi-entity management and API access.
